Agreement for the Use of OttoStruct.com Software Products
These Terms and Conditions ("Agreement") set forth the legal contract between you (the "User") and OttoStruct.com ("Provider") for the use of any software, applications, or digital products and related services provided by OttoStruct.com. By accessing, downloading, installing, or otherwise using the OttoStruct.com software ("Software"), you agree to be bound by these terms. If you do not agree to these terms, do not use the Software.
OttoStruct.com hereby grants the User a non-exclusive, non-transferable, revocable, and limited license to access and use the Software for personal or internal business purposes in accordance with this Agreement. All rights not expressly granted herein are reserved by OttoStruct.com.
You may not copy, modify, distribute, sell, or lease any part of the Software, nor may you reverse engineer or attempt to extract the source code, unless laws prohibit such restrictions or you have written permission from OttoStruct.com.
The Software may not be used to create any derivative works or competing products.
You agree not to use the Software for any unlawful activities, including but not limited to violating any applicable laws, regulations, or third-party rights.
You may not sublicense or otherwise transfer your rights to use the Software to any other individual or entity.
All content, features, and functionality of the Software are and will remain the exclusive property of OttoStruct.com or its licensors. The Software is protected by copyright, trademark, and other laws of both the United States and foreign countries. You agree not to remove, modify, or obscure any intellectual property notice or other legal notices from the Software.
You agree to use the Software in accordance with all applicable local, state, national, and international laws.
You are responsible for maintaining the confidentiality of your account credentials and for any activity conducted through your account.
You must promptly notify OttoStruct.com of any breach of security or unauthorized use of your account.
You agree to provide accurate, current, and complete information during any registration or purchase process.
OttoStruct.com may, at its sole discretion, provide updates, upgrades, or patches to the Software. These Terms and Conditions will govern any updates, unless such update is accompanied by a separate agreement, in which case the terms of that agreement will apply.
OttoStruct.com may offer support and maintenance services for the Software, as described on its website or in separate service agreements. OttoStruct.com is under no obligation to provide continued support or maintenance except as required by applicable law or as agreed in writing.
If the use of the Software requires payment, you agree to pay all applicable fees as described at the time of purchase or subscription. All payments are non-refundable except as otherwise provided by law or in OttoStruct.com's refund policy. OttoStruct.com reserves the right to modify fees or introduce new charges upon notice.
Your use of the Software is subject to OttoStruct.com's Privacy Policy. By using the Software, you consent to the collection and use of your information as described therein. Please refer to the Privacy Policy for details on how your data is handled.
OttoStruct.com may terminate or suspend your access to the Software at any time, without prior notice or liability, for any reason, including but not limited to your breach of this Agreement. Upon termination, the license granted to you will immediately cease and you must discontinue all use of the Software and destroy any copies in your possession.
The Software is provided "as is" and "as available," without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, or non-infringement. OttoStruct.com does not warrant that the Software will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Use of the Software is at your own risk.
In no event shall OttoStruct.com, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Software; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any bugs, viruses, or the like that may be transmitted to or through the Software by any third party; or (d) any other matter related to the Software, regardless of legal theory and even if OttoStruct.com has been advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless OttoStruct.com, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising out of or related to your violation of this Agreement or your misuse of the Software.
The Software may contain links to third-party websites or services that are not owned or controlled by OttoStruct.com. OttoStruct.com assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. Your interactions with such third parties are solely between you and the third party.
You acknowledge that the Software may be subject to U.S. export control laws and regulations and may also be subject to the laws of the country where you reside. You agree to comply strictly with all such laws and not to export, re-export, or transfer, directly or indirectly, the Software or its documentation to any country or individual prohibited by those laws.
OttoStruct.com reserves the right to modify these Terms and Conditions at any time. Changes will be effective upon posting the updated Agreement on the OttoStruct.com website. It is your responsibility to review these Terms periodically. Your continued use of the Software after changes are posted constitutes your acceptance of those changes.
This Agreement shall be governed and construed in accordance with the laws of the State of [Jurisdiction], without regard to its conflict of law provisions.
